SOMA Assurance is not authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulatory body. SOMA does not carry on regulated activities as defined in the Financial Services and Markets Act 2000 (FSMA 2000). Nothing in SOMA's services, website, or communications constitutes a financial promotion for the purposes of section 21 of FSMA 2000.
Lenders, credit funds, and other regulated entities that engage SOMA should satisfy themselves that the use of SOMA Outputs is consistent with their own regulatory obligations and internal credit policies. SOMA Outputs are intended to supplement — not replace — a lender's own independent credit analysis, legal diligence, and decision-making process.
SOMA Outputs are prepared on the basis of information provided by or on behalf of the borrower, sponsor, or lender and available at the time of assessment. SOMA does not independently verify all information provided to it and does not accept responsibility for the accuracy or completeness of information supplied by third parties.
Any person who acts on or relies upon a SOMA Output does so entirely at their own risk. SOMA Assurance, its founder, officers, and representatives accept no liability whatsoever for any loss, damage, cost, or expense arising from reliance on any SOMA Output, whether such loss is direct, indirect, consequential, or otherwise, and whether arising in contract, tort, or otherwise.
SOMA Outputs and all related working documents are produced on a strictly confidential basis for the named recipient only. They must not be disclosed to, shared with, or relied upon by any third party without SOMA's prior written consent. Where SOMA has produced an assessment on behalf of a lender, the borrower has no right of access to that assessment unless expressly agreed in writing.
The SOMA methodology, scoring framework, instruments (including the IRM, TCS, CFS, MDRA, OTTM, and CSIP), and all related intellectual property are the exclusive property of SOMA Assurance. Engagement with SOMA's services does not transfer any intellectual property rights to any client, counterparty, or recipient of SOMA Outputs. Clients may use SOMA Outputs for their internal decision-making purposes only and may not reproduce, adapt, or commercialise any element of the SOMA methodology.
This disclaimer is governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with this disclaimer shall be subject to the exclusive jurisdiction of the courts of England and Wales.
